Terms of Service.
These Terms of Service (“Terms”) form an agreement between you and Ali Alsayegh (“StatEze”, “we”, “us”) and govern your use of the StatEze website (stateze.com) and application (app.stateze.com) (together, the “Service”). By accessing the Service, submitting the waitlist form, or signing in to a beta account, you agree to these Terms. If you do not agree, do not use the Service.
1. Closed beta · eligibility
The Service is currently offered to a limited group of invited academic researchers. You must be at least 16 years old (and the age of majority in your jurisdiction, where higher) to apply. You must use a real identity and provide accurate information. We may, at our sole discretion, decline an application, revoke an invitation, or terminate access at any time.
2. Your account
You are responsible for keeping your sign-in credentials confidential and for any activity that occurs under your account. Notify us immediately at info@stateze.com if you suspect unauthorized access. Accounts are personal to you and may not be shared.
3. Acceptable use
You agree not to:
- Upload protected health information (PHI), patient identifiers, or any data that identifies an individual, unless that data is permitted to leave your institution under your applicable IRB or ethics-board approval, your institution's data-handling policies, and applicable privacy law;
- Upload data that you do not have the right to share, including data subject to confidentiality, contractual, or licensing restrictions;
- If you import data via your institutional REDCap server, you remain responsible for confirming that your institution’s data-handling policy permits the pull, that your REDCap API token is not shared with anyone, and that your IRB or REB approval covers analysis of that data in StatEze;
- Reverse-engineer, decompile, scrape, or attempt to derive the source code or training data of the Service or any underlying model;
- Probe, scan, attack, or interfere with the Service's security or availability, or use the Service to attack any other system;
- Use the Service to make a clinical diagnosis, recommend a treatment, or otherwise practice medicine — StatEze is intended for academic research only and is not validated for clinical decision-making;
- Resell, sublicense, or grant any third party access to your account or to outputs in violation of these Terms;
- Submit content that is unlawful, harassing, infringing, or that violates any third-party rights;
- Use the Service in any way that violates applicable law, including export-control and sanctions law.
You are solely responsible for the lawfulness of the data you upload, including obtaining any required consents and ensuring compliance with HIPAA, PIPEDA, PHIPA, GDPR, and any other applicable framework.
4. Statistical results · not medical advice
StatEze is a tool that produces statistical computations and assistive outputs. Outputs are not a substitute for peer review, regulatory submission preparation, or independent statistical validation. You are responsible for verifying any output before relying on it for any research, publication, regulatory, or other consequential purpose.
5. Beta nature · changes · downtime
The Service is in beta and is provided on an “as-is” basis. Features may be added, removed, or changed without notice. The Service may be unavailable for maintenance, upgrades, or unforeseen reasons. We do not guarantee any service level during the beta. We may suspend or terminate the beta at any time.
6. Intellectual property
The Service, including all software, designs, logos, content, and documentation, is owned by Ali Alsayegh and protected by copyright, trademark, and other laws. These Terms do not grant you any right in the Service except the limited right to use it as described here. The separate End User License Agreement governs the underlying software.
You retain ownership of the data you upload (“Your Content”). You grant StatEze a limited, non-exclusive, royalty-free, worldwide licence to host, process, transmit, and display Your Content solely to operate, secure, and improve the Service for you. We do not use Your Content to train any general-purpose machine-learning model.
7. Feedback
If you provide feedback, ideas, or suggestions about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use them for any purpose, without obligation to you.
8. Privacy
Our handling of personal information is described in the Privacy Policy, which is incorporated by reference into these Terms.
9. Third-party services
The Service relies on third-party providers (including Modal, Supabase, Google, Microsoft, Cloudflare, and Sentry). Their availability and terms apply where relevant. We are not responsible for failures or actions of third-party providers beyond our reasonable control.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE MAKE NO REPRESENTATION REGARDING THE ACCURACY OR RELIABILITY OF ANY STATISTICAL OR ASSISTIVE OUTPUT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STATEZE OR ALI ALSAYEGH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, CLINICAL OR RESEARCH OUTCOMES, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU HAVE PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CA$100). Some jurisdictions do not allow these exclusions; in those jurisdictions, our liability is limited to the smallest extent permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless StatEze and Ali Alsayegh from and against any claim, demand, loss, damage, or expense (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Service; (c) Your Content, including any claim that Your Content infringes a third-party right or violates applicable law; or (d) your violation of any law or regulation, including privacy law.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, for any reason, including breach of these Terms or end of the beta program. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and governing law) will survive.
14. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts located in Toronto, Ontario have exclusive jurisdiction over any dispute, and you consent to that jurisdiction. If you reside in the United States or another jurisdiction whose law grants you non-waivable rights, those rights are not affected by this section.
15. Changes
We may update these Terms as the Service evolves. Material changes will be reflected by updating the “Last updated” date below; substantive changes will be communicated by email to active beta participants. Continued use of the Service after changes take effect constitutes acceptance.
16. Miscellaneous
These Terms, together with the Privacy Policy and EULA, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a transfer of the Service.
